Board members are elected by their peers to represent the shareholders’ interests and to make major decisions for the company. The method of appointing board members varies from organization to organization. Some organizations allow nominations to the committee while others use Robert’s Rules of Order for the selection of board members. In either case, it’s essential that the rules and procedures are clearly defined.

The process of identifying candidates is ongoing to ensure that the board members have the skills and expertise to achieve the organization’s goals and mission. The nominating panel will meet with each candidate to determine if the candidate has the right mix of expertise, experience, and perspectives to be a member of the board. In addition the nominating committee must be aware of whether the organization is in need of new knowledge in areas such as marketing and fundraising; strategic planning; and diversity and inclusion.

When the nominating committee has an inventory of candidates who are qualified the committee will present them to the board for approval. The board will review all candidates and approve a list of nominees that will be put to votes of the entire membership. The board will also consider candidates who did not make the cut, and pick individuals for the board as directors at large. The directors will be decided on by the full board in a later meeting. In many cases, nominated directors won’t be present at the vote. This allows the board to discuss their qualifications in an informal setting.
